Jurisdictions

Which jurisdiction actually fits your structure?

We work across five established offshore centres — each chosen for its treaty network, banking access, and substance framework, not just its filing fees.

How we evaluate jurisdictions

A jurisdiction recommendation from Deltasforge is not based on name recognition or marketing material. We evaluate each jurisdiction against five criteria applied to your specific situation: the double-tax treaty network relevant to your income flows, the banking ecosystem available to residents of Kenya, the economic substance requirements and their real operational cost, the corporate registry transparency obligations, and the annual compliance burden in time and fees. This framework keeps us from recommending a jurisdiction that looks good in a brochure but creates banking friction or substance problems the moment you need to use it.

Jurisdictions we work in actively

Not a theoretical list — jurisdictions where we have current client structures and live agent relationships.

Mauritius

Mauritius carries the strongest treaty network for African holding structures, with active DTAs covering India, South Africa, and several European states. The Global Business Company category is well understood by international banks, and FATF-compliant. Substance requirements are real but manageable for a properly structured company. Annual compliance cost is moderate.

UAE — DIFC

The Dubai International Financial Centre offers zero corporate tax on qualifying income, a common-law court system in English, and access to one of the world's most liquid private banking corridors. It suits clients with active trading operations, fund structures, or those who can establish genuine management presence in Dubai. Minimum capital and licence fees are higher than other jurisdictions.

Seychelles

The Seychelles International Business Company is the lowest-cost offshore vehicle we use — fast to incorporate, minimal annual filing, and appropriate for a pure holding function with no active income. It does not carry the treaty network of Mauritius and is less favoured by tier-one banks, so we recommend it only where the holding function is clean and banking needs are modest.

British Virgin Islands

BVI business companies remain widely recognised by international banks and fund administrators. The jurisdiction is appropriate for holding equity in other entities, holding intellectual property at arm's length, or as an upper-tier vehicle in a more complex structure. The BVI's FATF-compliant status and established legal system give it durability despite its low-cost positioning.

Gibraltar

Gibraltar is relevant for clients in regulated sectors — particularly fintech, digital assets, and fund administration — where a European-adjacent common-law jurisdiction with DLT-specific legislation adds credibility with counterparties and regulators. It carries higher regulatory overhead than Seychelles or BVI but offers a defensible regulatory framework that sector-specific clients often require.

Jurisdiction selection is not a one-time decision

Regulatory landscapes shift. A jurisdiction that carried a clean FATF rating three years ago may be under enhanced monitoring today, affecting how correspondent banks treat your transactions. Deltasforge's compliance monitoring retainer includes an annual jurisdiction review — we flag when the regulatory standing of your chosen jurisdiction changes, when a treaty you relied on is renegotiated, or when a competing jurisdiction offers a meaningfully better fit given where your business has grown. You shouldn't have to track these shifts yourself; that's precisely what the retainer covers.

Practitioner reviewing a compliance document at a glass desk

“I had assumed Mauritius was the obvious choice for my holding structure. The team at Deltasforge walked me through a side-by-side comparison with DIFC that took about ninety minutes and completely changed my thinking. The final structure ended up being a two-tier arrangement I hadn't considered before. Two years in, the banking relationships have been frictionless.”
