How we approach each engagement

Every client engagement at Deltasforge starts with a structured intake: we review your current holding position, your residency profile, your banking relationships, and your target jurisdictions. From that baseline we build a written brief that identifies compliance gaps, treaty opportunities, and the sequencing of steps required to get from your current structure to your target structure. There are no shortcut products here — we design for your specific situation, your specific industry, and your specific risk tolerance. Typical engagements span eight to fourteen weeks from initial call to fully operational structure, depending on the jurisdiction's corporate registry and banking timelines.

Our core service lines

Four distinct disciplines, each staffed by practitioners with operational track records.

Offshore Structuring

We design holding, trading, and IP-holding structures across Mauritius, UAE DIFC, Seychelles, BVI, and Gibraltar. The structure includes entity formation, shareholder register management, and a compliance calendar that keeps you on track with annual filings and substance requirements. We coordinate directly with licensed local agents in each jurisdiction so you have one point of contact: us.

Banking Introductions

Correspondent banking has tightened dramatically since 2018, and cold applications from African-resident clients are routinely declined. Deltasforge maintains direct working relationships with relationship managers at offshore private banks and EMIs. We prepare your banking pack — source-of-funds narrative, corporate structure chart, compliance documentation — and introduce you properly, materially improving your approval odds.

Cross-Border Advisory

Decisions like changing your tax residence, accepting foreign equity, or redomiciling an existing company have cascading effects that generic advisors miss. Our advisory mandates cover the full decision map: Kenyan tax implications, foreign exchange control obligations, and the operational changes required at each entity level. We work alongside your existing Kenyan accountant, not instead of them.

Compliance Monitoring

Structures go stale. Reporting thresholds change, beneficial ownership registers go live, and substance requirements tighten. Our compliance monitoring retainer puts a quarterly review on the calendar: we check your filings, flag incoming regulatory changes, and recommend adjustments before they become problems. You receive a written compliance status report every quarter, in plain language.

What we don't do — and why that matters

We don't offer nominee director services designed to hide beneficial ownership, and we don't structure arrangements whose primary purpose is to defeat Kenyan tax obligations. These aren't moral positions alone — they reflect hard regulatory reality: structures built on opacity increasingly fail at the banking stage, get unwound by tax authority challenges, and expose clients to personal liability. If a structure can't withstand a regulatory review, it's not a structure; it's a liability. We tell clients this plainly from the first call, and we turn down engagements where the brief asks us to compromise on that line.

“The banking introduction service alone was worth the entire engagement fee. I had spent eight months trying to open a Mauritius corporate account on my own and kept getting declined without any explanation. Deltasforge had us through the door in six weeks, with a relationship manager who actually understood our sector.”

Common questions about offshore structuring

Straight answers to the questions clients ask most in early conversations.

Is offshore structuring legal for Kenyan residents?

Yes — holding offshore entities is legal for Kenyan residents provided you comply with Kenya's foreign exchange control requirements and correctly disclose any offshore income in your Kenyan tax filings. The structure itself is not the issue; the reporting obligations around it are what most people underestimate.

Which jurisdiction should I choose?

There is no universal answer. Mauritius suits clients who need a credible treaty network for dividend flows into Africa; UAE DIFC suits those who need active banking and a substance-friendly environment; Seychelles and BVI suit simpler holding needs with lower ongoing cost. We recommend only after reviewing your full picture.

How long does it take to set up an offshore structure?

From signed engagement letter to a fully operational entity with a bank account, allow eight to fourteen weeks. Corporate registry timelines vary: Mauritius runs four to six weeks; Seychelles can be as fast as two weeks; UAE DIFC runs six to ten weeks depending on the licence category.

What does an engagement cost?

Structuring engagements are priced on scope, not on a fixed menu. After the initial diagnostic call we provide a written fee proposal. Retainer-based compliance monitoring is priced separately and quoted once the structure is established and its filing calendar is mapped.

Do you work with clients outside Kakamega?

Yes. While we are based in Kakamega, we work with clients across Kenya — Nairobi, Mombasa, Kisumu, Eldoret — and with diaspora clients restructuring assets into or out of Kenya. All engagements can be managed remotely after the initial call.
